How to read a contract: a practical guide for non-lawyers
Most people skim contracts looking for the price and the date, then sign. This guide gives you a practical method for reading any contract — employment, rental, freelance, or commercial — and identifying the clauses that could cause problems.
Step 1: Read the definitions section
Most contracts start with a definitions section. Read it carefully — words like "Confidential Information," "Deliverables," "Term," and "Services" are defined here and their definitions affect every clause that follows. A broad definition of "Confidential Information" can turn a simple NDA into a restrictive trap.
Step 2: Find the four critical clauses
Every contract has four clauses that matter most: what you must do (obligations), what they must do (their obligations), how the contract ends (termination), and what happens if things go wrong (liability and indemnity). Find these four sections first.
Step 3: Check the term and renewal
How long does the contract last? Does it auto-renew? What notice is required to prevent renewal? Auto-renewal clauses are one of the most common traps — you can end up locked into a contract for another year because you missed a 30-day cancellation window.
Step 4: Look for asymmetry
Read every clause and ask: does this apply equally to both parties? If you must give 90 days notice but they can terminate with 7 days notice, that is asymmetric. If you indemnify them but they do not indemnify you, that is one-sided. Highlight every asymmetric clause.
Step 5: Check what survives termination
Look for the "Survival" section. This lists clauses that continue after the contract ends — typically confidentiality, non-compete, IP assignment, and indemnity. These post-termination obligations can restrict you for years after the contract is over.
Step 6: Read the governing law clause
Which country's law governs the contract? Where must disputes be resolved? If you are in France and the contract says disputes are handled in Delaware, that is a significant practical barrier to enforcing your rights.
